1. Introduction
Welcome to MenuRite. These Terms and Conditions (“Terms”) govern your use of the MenuRite platform, website, and services (collectively, the “Service”), operated by Menurite Technology Solution Limited (“MenuRite,” “we,” “our,” or “us”). By accessing or using our Service, you agree to be bound by these Terms.
MenuRite is a digital menu platform that helps restaurants, cafes, and food businesses create, manage, and share professional online menus with features including QR codes, WhatsApp ordering, and analytics.
The Service is provided by Menurite Technology Solution Limited, trading as MenuRite.
2. Account Registration
To use certain features of the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
You may register using your email address and password, or through Google OAuth. You must be at least 18 years old to create an account.
3. Subscription Plans & Billing
3.1 Plans
MenuRite offers the following subscription tiers:
- Free: Basic features with limited menu items and categories
- Pro: Enhanced features for growing businesses
- Max: Full access to all features for established businesses
3.2 Billing
Paid subscriptions are billed either monthly or yearly, in advance. Prices are displayed in Nigerian Naira (NGN) for users in Nigeria and US Dollars (USD) for international users. Payment processing is handled by Paystack (Nigeria) or Paddle (International).
3.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate for your subscription plan.
3.4 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refunds are available within 14 days of initial purchase as described below. We do not offer refunds for partial billing periods.
3.5 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of your next billing period.
3.6 Refunds
You may request a refund within 14 days of your initial purchase, provided the service has not been substantially used.
We do not provide refunds or credits for partial billing periods, unused time, plan downgrades, or unused features, except where required by applicable law.
Refunds for payments processed via Paddle are issued in accordance with Paddle's Buyer Terms.
Refunds for payments processed via Paystack are handled directly by Menurite Technology Solution Limited, in accordance with this Refund Policy and applicable consumer protection laws.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You shall not:
- Upload content that is illegal, harmful, threatening, abusive, or defamatory
- Infringe on intellectual property rights of others
- Upload false or misleading menu information
- Use the Service to spam or send unsolicited communications
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Use automated tools to scrape or collect data from the Service
- Resell or redistribute the Service without authorization
5. Menu Content
5.1 Your Responsibility
You are solely responsible for all content you upload to your menu, including item names, descriptions, prices, images, allergen information, and dietary labels. You must ensure all information is accurate and up-to-date.
5.2 Content Standards
Menu content must:
- Accurately represent your actual offerings and prices
- Include correct allergen and dietary information where applicable
- Not contain offensive, obscene, or inappropriate material
- Not infringe on trademarks or copyrights of others
- Comply with all applicable food safety and labeling regulations
5.3 License
By uploading content to MenuRite, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of providing the Service.
6. WhatsApp Ordering
MenuRite (Menurite Technology Solution Limited) facilitates order communication via WhatsApp. We do not process payments or fulfill orders. You are responsible for:
- Responding to customer inquiries and orders promptly
- Verifying order details with customers
- Handling payment collection directly with customers
- Fulfilling orders as agreed with customers
- Resolving any disputes with customers
Menurite Technology Solution Limited is not a party to any transaction between you and your customers and bears no liability for such transactions.
7. Analytics & Data
MenuRite (Menurite Technology Solution Limited) provides analytics features to help you understand customer engagement with your menu. Analytics may include page views, item clicks, traffic sources, and returning visitor data. This data is provided for informational purposes only and may not be perfectly accurate.
8. Intellectual Property
The MenuRite name, logo, website design, and all software, documentation, and content created by MenuRite are protected by intellectual property laws and are owned by Menurite Technology SOLUTION LIMITED. You may not copy, modify, distribute, or create derivative works without our written permission.
You retain ownership of all content you create and upload to the Service, including your business name, logo, menu items, and images.
9. Limitation of Liability
To the maximum extent permitted by law, Menurite Technology Solution Limited (MenuRite) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or content
- Business interruption
- Errors or inaccuracies in the Service
- Third-party conduct or content
Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to Menurite TECHNOLOGY SOLUTION LIMITED in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Indemnification
You agree to indemnify and hold harmless Menurite Technology SOLUTION LIMITED, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your content, or your violation of these Terms.
12. Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes when possible. Continued use of the Service after changes constitutes acceptance of the modified Terms.
13. Termination
We may suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activity. Upon termination, your right to use the Service ceases immediately. You may request export of your data before account deletion.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of Nigeria.
